How they compare
Roundtable structures EU-domiciled vehicles, either a Luxembourg SCSp, a French SC or a French SAS, selected according to where the co-investors are tax resident, and its Luxembourg manager entity is registered with the CSSF. Rocketbook forms Delaware vehicles. The choice largely follows your deal: US portfolio companies and their counsel expect a Delaware entity on the cap table, while an EU-domiciled vehicle suits European deals and LPs with a domicile requirement.
