Accredited Investor

A US investor meeting SEC income, net worth, or professional criteria, eligible to invest in private SPVs.

An accredited investor under SEC Rule 501 of Regulation D is a person or entity meeting at least one of several criteria — typically annual income above $200,000 (or $300,000 with a spouse) for the prior two years, net worth above $1 million excluding primary residence, or holding designated professional licenses (Series 7, 65, or 82). Entities qualify if they have over $5 million in assets or all equity owners are themselves accredited. Most SPVs raising under Reg D 506(b) or 506(c) are restricted to accredited investors, who self-certify or undergo third-party verification.
