Beneficial Ownership
The natural people who ultimately own or control an investing entity, identified during onboarding.
Beneficial ownership refers to the actual human beings behind an investing entity, rather than the entity named on the subscription agreement. When an LP subscribes through an LLC, trust, or offshore holding company, anti-money-laundering rules require the SPV to look through that structure and identify the individuals who own or control it, commonly at a 25% ownership threshold, though the applicable rule depends on jurisdiction and the administrator's own policy. Collecting this is the slowest part of onboarding entity LPs, because it means gathering identity documents for people who are not themselves the signatory. Sponsors who ask for beneficial ownership information at commitment rather than at close usually fund faster.
